Company setup

Our law firm helps clients from the first moment of entering Hungary for setting up their business here. The company formation process starts with sending you a memorandum on the main characteristics of a Hungarian company, as well as a detailed questionnaire of statutory and optional details needed for the incorporation. Corporate documents are then prepared in English-Hungarian bilingual format. Our lawyers provide continuous support in completion of the documentation, opening of a bank account and getting contact to relevant local service providers such as accountants or registered seat providers. The process is closed by filing documentation with the Court of Registration and then the incorporation of your new Hungarian company.

Acquisition

Our law firm provides full scope legal support in M&A transactions, either at purchaser’s or seller’s side, from putting together the LoI, through the due diligence process, till drafting and finalizing the SPA, other transaction documents and closing files. Our lawyers provide intensive support during the negotiations, so that the deal can be closed smoothly and quickly. If necessary, our services include restructuring steps needed either for taxation reasons or for completing conditions precedent of closing the transaction. Post‑closing services generally cover corporate or real estate compliance matters, so that the acquisition is duly reflected in statutory registers.

Real estate transactions

In Hungary, properties are often sold through the sale of the special purpose company holding them. In such transactions, besides general M&A support services, our law firm extends due diligence investigations on the title of the property and lease agreements. The transaction documentation in such matters is supplemented to fully cover the legal title and use of the property, as well as rights and obligations generating revenues and costs in respect of the real estate.
In case of disposing of the property itself, the transaction documents are prepared in English-Hungarian bilingual format for meeting statutory requirements. Our lawyers put special attention is put on transferring lease agreements to the new owner, where the relevant legislation and legal practice is not fully established. The transaction is closed and the title is transferred to the new owner with its registration by the Land Registry.

Joint ventures

The new Civil Code of Hungary entered into effect in 2014 and provides quite flexible legal framework for joint ventures. During the planning phase, our law firm supports clients in choosing the applicable company form for proper implementation of the structure. By putting together detailed letter of intent, we help all parties understand the mechanics of the investment before preparing the detailed transaction documents. Our lawyers draft the joint venture agreement parallel with corporate documentation, so that to ensure the enforceability of all elements of the structure. We often provide legal support for the application of certain items of the joint venture agreements, e.g. exercise of pre‑emption rights or different exit strategies.
